Terms of service

These Terms govern your use of the website, automation templates ("Templates"), custom build and maintenance services ("Build Services") and newsletter (together, the "Services") provided by IsauLab (イサウラボ, "we").

1. Scope

These Terms apply to everyone who uses the Services. For Build Services, anything in your quote or a separate agreement that differs from these Terms takes priority.

2. Templates

1. You may use and modify purchased Templates within your own business.
2. You may not redistribute, resell or publish Templates or guides, in whole or in part.
3. Fees for third-party services needed to run Templates (LINE, Google, Microsoft 365, n8n, AI services, etc.) are your responsibility.
4. Because Templates are digital goods, we don't accept returns or refunds after purchase, except where a problem is caused by us (e.g., a corrupted file), in which case we will replace or refund.

3. Build Services

1. We deliver the scope written in your quote ("Fixed Scope"). Requests outside it are quoted separately.
2. Revision rounds are limited to the number stated in your quote.
3. Communication is by email; we don't hold meetings or video calls. We aim to reply within two business days (JST, excluding weekends and holidays).
4. Delivery timelines start once payment is confirmed and we have the information needed.

4. Fees and payment

1. Fees are as shown on this site or in your quote, including consumption tax.
2. Build Services are paid 50% at kickoff and 50% at handoff; orders under ¥50,000 are paid in full at kickoff.
3. Maintenance plans are paid monthly in advance.
4. Bank transfer fees are paid by you.

5. Accounts and credentials

1. You own and manage the LINE, Google and other accounts and credentials that our deliverables connect to.
2. We never take your passwords. You connect via OAuth or revocable API keys.
3. You may revoke any access granted to us at any time.

6. Third-party services

Deliverables and Templates depend on third-party services. We don't guarantee they will keep working if those services change their APIs or terms, go down or shut down. For ongoing updates, choose a maintenance plan.

7. AI output

AI-generated text and extracted data may contain errors. Have a person check anything sent to your customers, published, or used for accounting or tax. Our builds include a human review step by default.

8. Intellectual property

1. Once paid in full, you may freely use and modify Build Service deliverables within your business.
2. We retain rights to pre-existing or general-purpose know-how, components and templates.

9. Confidentiality and personal data

We won't disclose your confidential information without consent. Personal data is handled under our privacy policy. Where you entrust personal data to us, the purpose, security measures, sub-contracting rules and deletion timing are set out in your quote or a separate agreement.

10. Prohibited use

The Services may not be used for illegal purposes, spam, infringing others' rights, or other purposes we reasonably consider inappropriate.

11. Cancellation

1. Canceling before kickoff (before payment) is free.
2. If you cancel after kickoff for your own reasons, the kickoff payment is not refunded.
3. Maintenance plans can be canceled by letting us know no later than the day before the next renewal date.

12. Limitation of liability

Except in cases of our willful misconduct or gross negligence, our liability is limited to direct and ordinary damages actually incurred, up to the fees you actually paid us for the service concerned.

13. Changes to these Terms

We may update these Terms. Changes take effect when posted here; active Build Service contracts remain under the Terms in effect when they were agreed.

14. Governing law and jurisdiction

These Terms are governed by Japanese law. The Kobe District Court has exclusive jurisdiction in the first instance.
